Urban Thier & Federer Rechtsanwälte represents international clients with regards to commercial law or to the formation of legal business entities in Germany. A particular focus is on optimizing exposure to personal liabilities and taxation. We advise our international clients on the rather complex German commercial law and the obligations of the manager and shareholder of a German legal entity, in particular the GmbH (Gesellschaft mit beschränkter Haftung) and the AG (Aktiengesellschaft).
We also guide and support our international clients through complex negotiations of German-American and German-British business contracts, such as Joint Venture Agreements, licensing agreements and distribution agreements.
UTF represents international clients, both as plaintiffs and defendants, in commercial litigation/lawsuits in Germany, involving publicly held corporations, closely held corporations and other business entities. We also work with corporate officers, corporate directors, shareholders and private individuals.
These types of German lawsuits include management and corporate control issues, mergers and acquisitions, shareholder appraisal rights, contract disputes, employment agreements, covenants not to compete and other disputes involving business relationships.
